3. User Accounts

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials, including your password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. VANGA Technologies will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Types

• Client Account: For individuals who want to browse and purchase services.
• Partner Account: For businesses or individuals who want to offer services on the Platform.
• Admin Account: For VANGA Technologies administrators.

4. Partner Responsibilities

4.1 Listing Services

Partners agree to provide accurate, complete, and truthful information about their services, including pricing, availability, and service descriptions. All service listings must comply with applicable laws and regulations.

4.2 Service Quality

Partners are responsible for the quality, authenticity, and reliability of the services they provide. Any service that does not meet the described specifications or is defective must be addressed promptly.

4.3 Service Delivery

Partners must deliver services in a timely manner and provide accurate project information. Failure to deliver services may result in account suspension or termination.

4.4 Client Service

Partners must provide responsive and professional client service. This includes responding to inquiries, resolving complaints, and handling project adjustments in accordance with our policies.

5. Client Responsibilities

5.1 Accurate Information

Clients agree to provide accurate and complete information when requesting services, including project requirements and contact details.

5.2 Payment

Clients must ensure that they have sufficient funds or credit to complete their purchases. Payments must be made using approved payment methods.

5.3 Reviews and Feedback

Clients may leave reviews and feedback about partners and services. Reviews must be honest, fair, and based on actual experiences. We reserve the right to remove inappropriate or false reviews.

6. Payments and Fees

6.1 Partner Subscriptions

Partners are required to subscribe to a paid plan to list services on the Platform. Subscription fees are billed in advance and are non-refundable except as required by law.

6.2 Transaction Fees

VANGA Technologies may charge transaction fees on services provided through the Platform. These fees will be clearly disclosed before any transaction is completed.

6.3 Payment Processing

All payments are processed through secure third-party payment gateways. VANGA Technologies does not store your payment information.

7. Intellectual Property

7.1 Ownership

The Platform and its original content, features, and functionality are owned by VANGA Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

By uploading content to the Platform, you grant VANGA Technologies a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content in connection with the Platform.

7.3 Trademarks

The VANGA Technologies name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of VANGA Technologies Limited. You may not use these marks without our prior written permission.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any laws, regulations, or third-party rights
• Uploading or transmitting viruses, malware, or any other malicious code
• Attempting to gain unauthorized access to the Platform or other users' accounts
• Using the Platform for any fraudulent or deceptive purpose
• Harassing, abusing, or harming other users
• Posting inappropriate, offensive, or illegal content
• Interfering with the operation of the Platform
• Copying, modifying, or distributing Platform content without permission

9. Termination

We reserve the right to terminate or suspend your account at any time, with or without cause, and with or without notice, for any reason, including without limitation:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Inactivity for an extended period
• At our sole discretion

Upon termination, your right to use the Platform will immediately cease. You may also terminate your account at any time by contacting us.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VANGA TECHNOLOGIES DOES NOT WARRANT THAT:

• The Platform will function uninterrupted, secure, or available at any particular time
• Any errors or defects will be corrected
• The Platform is free of viruses or other harmful components
• Any services obtained through the Platform will meet your expectations

We do not guarantee the accuracy, completeness, or reliability of any content on the Platform. Any reliance on such content is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VANGA TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE PAST SIX MONTHS, OR IF GREATER, ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless VANGA Technologies and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Osun State, Nigeria.
